Position Overview
We are seeking a motivated, detail-oriented Derivative Litigation Associate Attorney to join our litigation practice. The Associate will focus primarily on representing corporations and boards in shareholder derivative actions and related disputes. The role requires strong research and writing skills, courtroom presence where appropriate, and the ability to manage complex litigation matters from intake through resolution. This position offers substantive litigation experience, mentorship from senior litigators, and the opportunity to contribute to high-stakes corporate and governance matters.

Key Responsibilities
  • Manage and advance all phases of derivative litigation matters, including case assessment, pleadings, discovery, motion practice, settlement negotiations, and trial preparation
  • Draft and edit pleadings, briefs, motions, discovery requests and responses, settlement agreements, and other litigation documents with precision and persuasive legal analysis
  • Conduct legal research on issues arising in fiduciary duty, corporate governance, securities, and related areas; synthesize findings into actionable advice for clients and internal teams
  • Work closely with partners and clients to develop litigation strategy, including investigation of factual issues, formulation of defenses, and evaluation of potential resolutions
  • Coordinate with internal and external experts, counsel, and investigative teams to gather evidence, prepare witness testimony, and support expert reports
  • Manage client communications, provide timely status updates, and advise corporate clients and boards on risk mitigation and governance practices related to litigation
  • Participate in discovery and depositions, take and defend depositions, and prepare witnesses for testimony
  • Assist with business development, client pitches, and the preparation of client-facing materials as needed
Qualifications
  • Admission to the state bar (Barred) in good standing is required
  • 2+ years of litigation experience with demonstrable involvement in derivative litigation matters (or equivalent exposure to shareholder dispute work)
  • Strong legal research, writing, and analytical skills with a record of producing high-quality briefs and motion practice
  • Familiarity with corporate governance, fiduciary duty doctrines, and Delaware General Corporation Law or other applicable state corporate laws
  • Experience with courtroom and deposition practice, including taking and defending depositions
  • Ability to manage multiple matters, meet deadlines, and work collaboratively in a team environment
  • Excellent communication skills and professional client management abilities
  • Nice to have: background or experience in corporate litigation matters and handling complex commercial disputes or securities-related issues
